Code of Ethics
DynAmp, LLC (hereinafter referred to as “Group” deemed it appropriate to adopt, both within the company and in its relationships with third parties, a set of rules that it acknowledges, accepts and shares, aimed at promoting, at all company levels, a solid ethical integrity and strong sense of control.
Within this context, DynAmp, LLC owed by FRIDYN Corp. and the related companies promotes a series of principles (of professionalism, enterprise, legitimacy, honesty, transparency, reliability, equality, impartiality, loyalty, correctness and good faith) all Company activities, conduct, employees and those who work with it must adhere to.
Moreover, the Group is aware that adopting a code of ethics that, clearly states the set of values from which it draws its inspiration in achieving its business objectives, is of fundamental importance in carrying out its activities properly, also constituting an unfailing element in crime prevention and control.
Having stated this, this document (hereinafter referred to as “Code of Ethics”) was approved by DynAmp, LLC, FRIDYN Corp, FRIEM’s Board of Directors and all other Group’s Companies; observance is deemed an indispensable condition not only to prevent crimes but also for the Company to function properly, to protect its reliability, reputation and image and for increasing customer satisfaction, all factors that contribute to DynAmp’s Group’s current and future success and growth.
All employees and those that work with the companies must be aware of this Code of Ethics and are expected to comply with its terms.
The Human Resource Manager will oversee enforcement of the Code of Ethics.
- FIELD OF APPLICATION AND RECIPIENTS
The DynAmp, LLC bases all its actions, operations, relationships and transactions in managing company activities on this Code of Ethics.
All employees, strategic partners, consultants, contract / temporary workers, and vendors and whatever else has business dealings with the Group (collectively, hereinafter referred to as “Recipients”) are expected to comply with the Code of Ethics during the period of time they have a relationship with the DynAmp, LLC.
In particular, the company’s Owners and DynAmp’s Front-Line Managers must observe the Code of Ethics in fixing company objectives, proposing investments and carrying out projects and in any other company management related decision or initiative. Similarly, managers and those in charge of Company functions, in enforcing company management activities, must observe the same principles, both within the Company, thus strengthening teamwork and a spirit of collaboration, and with those third parties the Company deals with.
Moreover, the principles contained in this Code of Ethics apply to the employment relationship. Managers are expected to comply with the Code when supervising employees and employees are expected to comply when engaging in any activity related to their employment.
Employee, contract / temporary workers, strategic and commercial partners, consultants and vendors and other partners that work in name or on behalf of DynAmp, LLC must act in accordance with the provisions hereof in their relationships with and in the interest of the company.
However, all Recipients must:
- refrain from behaving in such a way as to contravene the provisions hereof;
- report any conduct that, within DynAmp, LLC’s activities, is even potentially in breach of the contents hereof, to the Ethics Committee;
- work with said body in verifying possible breaches.
As regards third parties with whom the companies work, it is expected that they, too, will comply with the principles outlined in this Code.
- ETHICAL PRINCIPLES
To achieve its objectives, the Group conforms to the following principles (hereinafter referred to as “Principles”):
- respect of the provisions of law and regulations in force in all countries in which the Company works;
- observance of the strictest codes of ethics (if any) in relationships with the Public Administration in relation relative institutional functions;
- equal employment opportunity;
- honesty, transparency and reliability;
- avoiding conflicts of interest while employed by the Group or when engaging in business with the Group;
- confidentiality of business information;
- respect of one’s employees, contract / temporary workers, strategic partners, consultants, vendors and customers;
- protecting the environment and safety of the work place.
Recipients must be treated without regard to age, sex, pregnancy status, sexual orientation, gender identity, race, color, national origin, ancestry, religion, creed, disability, genetic information, military status and any other category protected by law.
Recipients must avoid conflicts of interest while performing job duties or as a third party when engaging in business activities with the Group. Employees must avoid placing themselves in situations where their pecuniary or business interests’ conflict with those of the Group and their ability to make objective business decisions in the best interests of the Group are compromised. Conflicts of interest should be reported by employees to their managers and for all other Recipients to the Chair of the Ethics Committee.
The Group promotes a professional work environment and collaboration. We count on Recipients to place the Group on notice if conduct that is in conflict with this principle is taking place.
Recipients must provide complete, transparent, comprehensible and accurate information in managing the various activities carried out on behalf of the Group.
Moreover, the Group undertakes to make sure its authority is exercised in a respectful, objective and fact-based manner.
The Group acknowledges that the environment is a primary asset that must be protected and therefore programs its activities seeking a balance between economic initiatives and indispensable environmental needs. Within this context, DynAmp, LLC and other Group’s companies undertakes to continuously lower the environmental impact of its activities, as well as prevent risks for the environment, not only in observance of the law in force.
